Tesla Retains The Option To Withdraw in The Syrah Graphite Transaction

London, June 4th (Argus) - Australian graphite producer Syrah Resources has resolved the breach-of-contract allegations under the purchase agreement with US automaker Tesla. However, if Syrah fails to meet the final qualification requirements, Tesla can still terminate the 8,000-ton-per-year transaction.
Syrah stated on June 1st that Tesla now accepts that Syrah is producing qualified active negative electrode materials from its Vidalia factory in Louisiana and has withdrawn its intention to terminate the purchase agreement.
However, Syrah's qualification for the purchase is still incomplete, and the termination rights related to this process have not changed.
Apart from the statement from the Australian Stock Exchange, Syrah declined to comment on the reasons for the breach, the qualification status, the transaction volume, or the commercial terms.
This dispute can be traced back to Syrah's failure to provide valid samples and meet Tesla's requirements. Tesla previously issued a default notice stating that Syrah failed to provide valid samples of active negative electrode materials. After an early extension in 2025, the inspection time has been postponed to June 1st this year. Syrah stated that it is now in the "advanced stage" of qualification certification, but did not provide a definite completion schedule.

Vidalia has not made any commercial sales of active negative electrode materials yet. The cumulative output to date has only been for testing and identification purposes. The factory's 45,000-ton-per-year expansion plan depends on obtaining the qualification and a confirmed purchase agreement.
Tesla's withdrawal of the termination contract eliminates short-term pressure, but the remaining exit options will maintain the uncertainty regarding production, time, and the broader launch of the project.
For Syrah, Vidalia is a key step in its transition from primary graphite mining in Mozambique to more profitable downstream processing. However, the project remains a pre-revenue project and relies on continuous funding support and purchase confidence until qualification certification is completed.
